For South African company secretaries
JSE HUB keeps the statutory registers of every company you run, listed and unlisted, and computes the rest from them: trading windows, rotation, committee make-up, takeover thresholds and the findings where one register disagrees with another. Nothing goes stale because nothing is stored twice.
Board portals distribute packs; outsourced secretarial firms do the work for you. JSE HUB is the record a company secretary runs themselves, with South African rules computed in: section 122 disclosures, King V, the s30A and s30B remuneration votes, the JSE monitoring checklist and closed periods that refuse a clearance request on the spot.
| What you need | A board portal | JSE HUB |
|---|---|---|
| Pack distribution, notes, signatures | Yes | Yes: packs compiled and watermarked per reader, notes that survive a substituted paper |
| Closed periods and clearance to deal | Not computed | Worked out from the year end and SENS; requests inside a window refused and kept as refused |
| Rotation and re-election | Not computed | From each last election, under your MOI's fraction and rounding, four AGMs ahead |
| Takeover thresholds (s122, s123, s124) | Not tracked | Every whole 5%, TRP deadlines in business days, the 35% and 90% lines |
| Registers read against each other | No | Findings graded act on this, check, or for information |
From the day after each period end to the first flagged results announcement, the profile date, or three months on, shown as an estimate.
End of term first, then the longest since last election, with ties warned and the AGM resolutions drafted in each formal name.
Seven committees picked from a fixed list, the chair marked, with section 94 and Regulation 43 checked on every change.
Results, statements, the AGM within 15 months, the CIPC annual return, each with its basis and the actual date it was met.
Declare, freeze the holders at record date, calculate gross, dividends tax and net, then pay and receipt by EFT.
Every change, every opening of a paper: who, what, when, in South African time.
Share code, sector, market capitalisation and SENS history, as each company secretary chooses to publish.
